1. Introduction & Purpose
Thank you for taking part in the SOURCE Pilot (“the Pilot”).
By joining the Pilot as either a Content Provider or Distribution Partner, you agree to these Terms & Conditions (“Terms”). The goal of the Pilot is to test and demonstrate SOURCE’s ability to distribute regenerative, impact-focused content across a network of aligned platforms and communities.
These Terms are written in clear, plain language — no legalese unless necessary — and are designed to protect all parties while supporting a collaborative, values-aligned environment.
SECTION A — CONTENT PROVIDER TERMS
2. Ownership of Your Content
By joining the Pilot, you (the “Content Provider”) confirm that:
- You retain full ownership of all content you submit or connect to SOURCE.
- You are not transferring exclusivity, copyright, or ownership of your work to us.
- You may publish your content anywhere else at any time.
Nothing in this agreement limits your creative or commercial freedom. You own your voice.
3. The License You Grant SOURCE (Plain Terms)
By checking the acceptance box in the application form, you grant Source Studios (“SOURCE”):
A non-exclusive, royalty-free, global license to:
- distribute, promote, and display your content across our Pilot network;
- include your content in feeds, aggregated showcases, newsletters, partner sites, and apps;
- use your content for testing, analytics, public demos, and promotion of the Pilot itself.
This license exists solely so we can test and prove the effectiveness of SOURCE.
What this does not mean:
- We do not own your content.
- We do not claim exclusivity.
- We do not sell or resell your content.
- We will never alter or misrepresent it.
We will always credit you where reasonably possible.
4. Duration of Permission
- This license is valid only for the duration of the Pilot (6 months).
- If we wish to continue distributing your content afterward, we will request fresh permission.
- You may withdraw your content at any time by sending written notice.
- We will make reasonable efforts to remove your content from all distribution points within 7 days.
5. Content Authenticity & Standards
As a Content Provider, you confirm that:
- You created the content yourself (or your organisation created it).
- You have full rights to distribute it.
- Your content is not AI-generated, in part or in full.
- Your opinions expressed in the content are your own, not SOURCE’s.
You also agree that your content will not contain:
- hate speech, racism, sexism, xenophobia, homophobia, transphobia, ableism;
- discrimination, harassment, or incitement to harm;
- intentionally misleading information;
- illegal, explicit, or harmful material.
SOURCE retains the right to remove or review any content that appears to violate these standards.
6. Liability (Content Providers)
You agree that SOURCE is not responsible for:
- any consequences, reactions, or outcomes resulting from your content;
- any claims brought by third parties regarding the content you created;
- any damages, reputational impact, or legal issues arising from your content.
You accept full responsibility for the material you provide.
SECTION B — DISTRIBUTION PARTNER TERMS
7. Rights Granted to Distribution Partners
SOURCE grants Distribution Partners a temporary license (for the duration of the Pilot) to:
- display, embed, or share content provided by Content Providers;
- curate which content appears on their own feed or platform;
- remove content at any time based on their own discretion.
We do not force any content onto your platform.
You choose what to display.
8. Liability (Distribution Partners)
You acknowledge that:
- SOURCE does not create or control the content.
- You have full control over your feed and are responsible for what you choose to display.
- SOURCE cannot be held liable for the meaning, impact, accuracy, messaging, or consequences of any displayed content.
You agree to indemnify SOURCE for any claims, complaints, or disputes arising from your selection or distribution of content.
SECTION C — TERMS FOR ALL PARTICIPANTS
9. Content Removal & Violations
SOURCE may immediately remove any content that:
- violates these Terms;
- includes hate speech, discrimination, or harmful material;
- infringes rights or raises legal concerns;
- results in complaints or reputational risk;
- does not align with the spirit of the Pilot.
Warning System (for non-harmful issues)
If the issue is minor and not harmful, SOURCE may:
- Issue a written warning
- Request changes or clarification
- Continue participation under monitoring
Immediate Termination
SOURCE may terminate a participant without notice if:
- a harmful or serious violation occurs;
- a second violation occurs after a warning;
- the participant breaks any critical clause of this agreement.
Termination includes immediate removal of platform access and distribution rights.
10. Dispute Resolution Process
To maintain a healthy ecosystem:
- All disputes will first be addressed through good-faith conversation.
- If unresolved, they proceed to binding arbitration in South Africa.
- Legal action may only follow if arbitration fails.
11. Data & Privacy
SOURCE handles all participant data in accordance with POPIA.
We collect only the information necessary to operate and improve the Pilot.
12. Amendments
SOURCE may update these Terms during the Pilot.
Participants will be notified, and continued participation indicates acceptance.
13. Acceptance
By joining the Pilot, all participants confirm that they have read, understood, and agree to these Terms in full — including the content-usage license, responsibilities, and liability clauses outlined above.
